Structure Change Lands in a Difficult Quarter

Redwood Trust (NYSE:RWT) released third-quarter 2026 figures on November 3, 2026 and disclosed plans to become a C-corporation in 2027. Management argues the move fits the Business better and lets it keep and reinvest more earnings. It projects an initial lift of USD 0.73 to 0.77 per share in GAAP book value during the fourth quarter of 2026, linked to a deferred tax asset it estimates at USD 85 million to USD 90 million across 116.5 million shares. Quarter results were weaker, with book value sliding to USD 6.56, an economic return on book value of negative 2.3%, and a GAAP loss of USD 0.39 per share against USD 0.03 in the prior quarter.

Mortgage Platforms Hold Firm While Legacy Holdings Drag

Total GAAP net loss amounted to USD 47.3 million. The core mortgage banking platforms contributed USD 27.0 million, slipping from USD 40.1 million in the second quarter. Sequoia brought in USD 32.3 million with a gain-on-sale Margin of 113 basis points, above target, whereas Aspire lost USD 5.4 million as higher rates, weaker hedge effectiveness, longer distribution timelines and wider non-QM securitization spreads squeezed margins. Legacy Investments posted a USD 45.0 million loss despite over USD 200 million of finished or anticipated Loan resolutions, while Corporate and Other absorbed USD 24.9 million of losses. Earnings available for distribution, a non-GAAP measure, came to negative USD 0.02 per share. Chief executive Christopher Abate called it among the toughest industry quarters since the Pandemic began.

Liquidity Moves, Convertible Notes and Debt Buybacks Ahead

Redwood finished September with USD 201 million of cash and Warehouse line utilization of 37%. Recourse debt eased to USD 4.2 billion from USD 4.5 billion, while the non-GAAP recourse Leverage Ratio rose to 5.2x from 5.0x. The company placed USD 205 million of convertible notes carrying a 7% coupon, applied in part to repay about 40% of convertible debt due June 2027, and bought back 9.2 million shares for USD 34 million, which added roughly USD 0.25 per share to book value. It also enlarged a secured financing Facility with CPP Investments and Stone Point Credit, now extended to March 2030. The fourth-quarter agenda centers on resolving legacy assets, which fell about 75% in a year to USD 116 million of capital, and repurchasing unsecured debt at discounts. Rate swings, spread widening and mortgage Volume are the main risks.

Where Things Stand

Redwood Trust (NYSE:RWT) is pursuing C-corporation status because management believes that structure suits a mortgage-banking-led model and lets it retain more earnings, with a book value boost expected once the deferred tax asset is recognized. The 4.9% fall in book value stemmed from Fair Value losses during a steep rise in rates, legacy resolutions and wider spreads, although the core mortgage platforms stayed profitable. The evidence is mixed: the conversion is still a management expectation, while legacy drag and leverage persist. Fourth-quarter results, further legacy resolutions and any Dividend change, which stood at USD 0.18 per share this quarter, are the next checkpoints.
