Key Highlights

  • Third-quarter 2026 adjusted EBITA Margin for the group reached 13%, a 70 basis point improvement that surpassed what management had projected, and every segment posted higher margins.
  • A 288 million euro provision was booked after an agreement in principle with the U.S. Department of Justice over Respironics, sitting inside adjusting items totaling 353 million euros.
  • Orders expanded 8% and comparable sales edged up about 3%, and free Cash Flow reached an inflow of 384 million euros compared with 172 million euros a year earlier.
  • Management kept its full-year numbers, forecasting comparable sales growth of 3% to 4.5%, a 13.5% to 14% adjusted EBITA margin and free cash flow of 1.5 billion to 1.7 billion euros.

Profitability Rises Even With the Respironics Charge on the Books

Philips (NYSE:PHG) reported its third-quarter 2026 outcome on November 3, 2026. Higher sales, improved gross margin on newer offerings, productivity gains and a small Tariff benefit pushed the adjusted EBITA margin to 13%. Adjusted EPS grew more than 10% to 0.40 euros. The 288 million euro charge stems from the agreement in principle with the U.S. Department of Justice concerning the Sleep and Respiratory Care recall, and because it falls within adjusting items, the 13% figure excludes it. Apart from the provision, adjusting items totaled 65 million euros, down from 122 million euros a year earlier. The outlook presumes the settlement is paid in the first quarter of 2027, pending final documentation.

Segment Performance, Order Momentum and Cost Savings

Philips focuses on medical technology and personal health products. Like-for-like sales edged up roughly 3%, as Personal Health climbed 8% and Connected Care gained 5%, whereas Diagnosis and Treatment held nearly steady amid postponed ultrasound deliveries and softer China revenue. Bookings in Diagnosis and Treatment rose nearly 20%, which Leadership sees as groundwork for a rebound in fourth-quarter sales. Segment adjusted EBITA margins came in at 12.3% for Diagnosis and Treatment, 13.3% for Connected Care and 17.7% for Personal Health. Productivity programs produced 170 million euros of savings this quarter and 427 million euros so far this year, en route to a 1.5 billion euro goal by end-2028. Management still sees cost Inflation as a headwind of a high double-digit millions of euros this year.

Leverage, a Tariff Refund Cushion and Open Legal Exposure

Cash stood at 2.8 billion euros and net Debt at 5.4 billion euros, equal to 1.7 times adjusted EBITA versus 2.2 times a year earlier. A 650 million euro Green Bond placed in August 2026 drew 2.7 times oversubscription. The full-year margin outlook counts a roughly 1% lift from a U.S. tariff refund, with about 200 million euros of it appearing in free cash flow, so the underlying margin runs lower. Excluding the refund, the year-to-date underlying adjusted EBITA margin was 11.5%. Risks include the outlook not covering other Respironics proceedings, particularly the U.S. State Attorneys General investigation, a cautious China view as centralized procurement grows, and the timing of ultrasound sales. Connected Care orders dropped mid-single digits against a very strong prior-year base.

Where Things Stand

Margin expansion reflects operating progress, not an omitted charge: the provision sits outside adjusted EBITA, and the 13% comes from sales growth, mix and 170 million euros of quarterly productivity savings. The company still has to fund the settlement, expected in the first quarter of 2027, while other legal matters sit beyond guidance. The 13.5% to 14% full-year margin range includes the roughly 1% refund benefit. Key checkpoints are whether postponed ultrasound orders ship in the fourth quarter and early 2027 and how the settlement paperwork is completed.
