A Holding Company with fresh cash
Aimia Inc. (TSX:AIM) is in focus because it has sold its specialty-chemicals Business and now holds far more cash than it had a quarter earlier. The sale of Giovanni Bozzetto S.p.A closed on 29 May 2026, leaving a company built around Cortland International, a maker of synthetic fibre ropes and netting, plus a holdings segment that includes a stake in Clear Media and minority investments. It is listed on the TSX and, as AII, on the Johannesburg exchange.
All figures below are in Canadian dollars and come from the second-quarter 2026 results published on 11 August 2026.
The Bozzetto sale
Final net proceeds were $270 million after Bozzetto's net debt, minority interests and transaction costs, and the company booked a net accounting gain of $21.7 million. The taxable gain of about $45 million was fully offset by Capital loss carryforwards, so no income tax expense was recorded. Aimia reports total tax-loss carryforwards of $1,054.1 million at 30 June 2026, made up of $521.5 million of operating losses and $532.6 million of capital losses.
Cash and equivalents stood at $294.5 million at 30 June, of which $286.8 million sat in Holdings, against $100.3 million at 31 March. Net Equity value attributable to common shareholders was $330.6 million, up 21.5% in the quarter according to the chief financial officer.
Debt and capital returns
Aimia tendered for and bought $131.4 million of principal of its 9.75% senior unsecured notes, paid on 3 July 2026 at par plus accrued interest, leaving $11.2 million due in January 2030. Pro forma Liquidity after that payment was $173.2 million.
In the quarter it repurchased 618,700 common shares for $1.8 million and renewed its normal course issuer bid for up to 5,012,419 shares, about 10% of the public float, running to 7 June 2027. Quarterly dividends on three series of Preferred Shares are payable on 30 September 2026.
Operations: Cortland still the test
Continuing-operations Revenue was $36.4 million in the second quarter, down 3.7% from $37.8 million, and adjusted EBITDA was $2.3 million against $2.8 million. Cortland's adjusted EBITDA was $4.4 million at a 12.1% margin, compared with $4.9 million and 13.0%. Management points to lower offshore energy project volume, order timing and softer Demand after price increases that offset higher raw material and freight costs linked to Middle East developments.
Net Earnings of $33.3 million, or $0.36 per share, were flattered by the Bozzetto gain and a $10.1 million favourable swing in financial items from translating US dollar balances. Continuing operations contributed only $0.03 per share, and the company notes the currency benefit can reverse.
Risks and analysis
The analytical point is that reported profit overstates underlying earning power. Operating Income from continuing operations was a loss of $1.4 million, and holdings costs of about $7 million a year, excluding investing activity, share-based pay and dual-listing expenses, must be covered by Cortland's modest EBITDA or by Investment returns. The value case therefore rests on how the large cash balance is deployed.
Risks include a weak energy-project cycle, input-cost inflation, currency exposure and execution of the Cortland turnaround. The company gives no numerical earnings guidance. Further, the dual listing process adds recurring cost and management attention while the operating business is still being repaired.
Milestones
Management refers to a planned UK dual listing, which already added $0.6 million of costs in the quarter, along with Cortland's second-half performance and capital allocation decisions. The next quarterly report, covering the three months to 30 September 2026, will show how much of the cash has been redeployed. Any new investment, buyback or Acquisition announcement would also be a signal.
