A Facility Sale Gain Dominates the Third Quarter
CoreCivic (NYSE:CXW) released third-quarter 2026 results on November 4, 2026. GAAP Net Income came in at USD 1,344.1 million, or USD 14.49 per diluted share, mostly because of a USD 1,770.7 million gain on selling four detention facilities to the federal government through the Department of Homeland Security. Gross proceeds totaled USD 2.2 billion, and after roughly USD 0.5 billion of income taxes and transaction costs, net proceeds were approximately USD 1.6 billion. Excluding special items, adjusted net income was USD 45.7 million, or USD 0.49 per diluted share. EBITDA reached USD 1,899.9 million, while adjusted EBITDA was USD 117.8 million, so the adjusted numbers offer the better view of operations.
Occupancy Gains and Services Drive Core Earnings
CoreCivic owns and runs detention and correctional facilities and supplies related services. Residential occupancy moved up to 84.0% from 76.7%, aided by newly activated facilities working under federal contracts, and federal customers accounted for 53% of revenue, a USD 71.3 million or 22.2% increase. Residential Operating Margin held at 22.3% because four facilities still ramping up have not reached full margins. The Services segment, helped by the April 1, 2026 Acquisition of Clinical Solutions Pharmacy, raised net Operating Income to USD 9.6 million from USD 1.1 million. Normalized FFO came to USD 0.75 per diluted share, compared with USD 0.48, and weighted average diluted shares dropped 13.8%.
Buybacks, Raised Guidance and a Leadership Change
CoreCivic (NYSE:CXW) completed USD 500 million of accelerated share repurchases, receiving 12.4 million shares at the outset, with final settlement due before the second quarter of 2027 ends. Its adjusted EPS guidance was lifted to USD 1.74 to USD 1.80 from USD 1.64 to USD 1.73, and adjusted EBITDA guidance to USD 442.5 million to USD 445.5 million. The company named Lucibeth Mayberry chief executive on September 24, 2026, after Patrick Swindle stepped aside for health reasons. CoreCivic cautioned that its federal contracts can be ended for non-appropriation or for convenience, and any further government sales remain preliminary and uncertain.
Where Things Stand
The USD 14.49 figure reflects a one-time gain rather than recurring operations. CoreCivic (NYSE:CXW) produced USD 0.49 in adjusted diluted EPS, a 104.2% rise, and it cut debt sharply while repurchasing stock. Key uncertainties involve contract terms with the federal government after the sales, the timing of occupancy at facilities still being activated and any further facility sales, which the guidance excludes. Investors should watch the final accelerated repurchase settlement and quarterly adjusted EBITDA.
