No Forward View or Webcast Amid the Proofpoint Deal

Varonis Systems (NASDAQ:VRNS), a provider of data and AI security software, released its third quarter 2026 figures on November 3, 2026. Sales of USD 189.5 million exceeded the prior-year quarter by roughly 17.3%, a number we calculated from the two totals. With Proofpoint, a Thoma Bravo portfolio company, set to acquire it, management has ruled out forward-looking guidance and any revision of earlier guidance, and it will skip the Earnings Call and webcast. The merger agreement, involving Varonis, Proofpoint and a merger subsidiary, carries an October 15, 2026 date. The release also states that prior guidance will not be updated, and that the agreement remains subject to closing conditions. Neither the price nor the expected closing schedule appears in the release extract.

SaaS Conversion Reshapes the Revenue Mix

SaaS revenue of USD 185.1 million grew about 47% by our arithmetic, while term license income dropped from USD 24.8 million to USD 1.2 million, and the maintenance-plus-services bucket went from USD 10.9 million down to USD 3.1 million. The company credits most of those declines to clients transitioning onto its SaaS platform, which explains why it also presents SaaS ARR without conversions, a figure up 24%. The GAAP loss persists: USD 41.6 million, or USD 0.36 a share, compared with USD 29.9 million, or USD 0.26. R&D expenses rose to USD 78.7 million, versus USD 62.7 million. The non-GAAP operating result excludes Equity compensation, associated payroll taxes and Acquisition amortization, and those items explain most of the gap from the GAAP loss.

Liquidity Trend and What Could Derail the Merger

Cash, deposits and marketable securities add up to USD 937.8 million. Nine-month Operating Cash Flow reached USD 108.3 million, down from USD 122.7 million, and free cash flow came in at USD 94.8 million versus USD 111.6 million, so cash generation weakened despite higher revenue. Among the stated risks are a delayed or failed closing, rejection by shareholders or regulators, a termination that triggers a fee, and disruption to hiring and customer relationships. Convertible senior notes from 2020 and 2024 mature in 2029. Merger approval milestones are the next items to track.

Where Things Stand

Recurring revenue growth is genuine, but the release format is unusual: Varonis Systems (NASDAQ:VRNS) has agreed to a Proofpoint takeover, so it publishes no outlook and holds no call. Recurring sales are expanding quickly, as SaaS ARR rose 42% (24% without conversions), and non-GAAP operating income reached USD 7.6 million, though the GAAP loss deepened and cash generation softened. Because completion depends on Shareholder and regulatory sign-offs, the deal timetable outweighs the quarterly trend, and published data reveal neither a price nor a closing date. Any approval steps will be the first hard evidence on timing.
