Key Highlights

  • The close on Thursday, November 5, 2026 showed a 27.65% decline, per published market data, as Revenue dropped 11% to USD 436.4 million, short of a published USD 458.4 million estimate.
  • Non-GAAP EPS was USD 0.37, down from USD 0.58 a year earlier, and the estimate cited by published coverage was USD 0.44. Continuing operations posted a GAAP net loss of USD 316.9 million.
  • Matt Goldberg stays on as CEO through February 16, 2027, Michael Noonan's final day as CFO is December 31, 2026, and Kristen Dalton will serve as interim CFO starting January 1, 2027.
  • Most of the loss traces to a USD 369.5 million Impairment on goodwill, a non-cash charge. The USD 706.8 million cash figure omits roughly USD 741.0 million tied to the TheFork divestiture, which closed on November 1, 2026.

Revenue Shortfall and a Two-Seat Leadership Change

On November 5, 2026, Tripadvisor (NASDAQ:TRIP) announced third-quarter numbers together with leadership changes. Revenue from continuing operations declined 11% to USD 436.4 million. Experiences slipped 3% to USD 284.8 million, while Hotels and Other fell 23% to USD 151.6 million. Adjusted EBITDA reached USD 71.1 million, a 16.3% margin. CEO Matt Goldberg is exiting both the chief executive post and the board, with his tenure running until February 16, 2027, and no permanent successor has been named while an executive search firm works on it. Shares closed down 27.65%, roughly 28%. The Hotels and Other unit carries a 21.7% margin, above Experiences at 13.4%, so its steep sales drop weighs on profit as well as revenue.

A USD 369.5 Million Impairment Behind the GAAP Loss

Loss from continuing operations on a GAAP basis reached USD 316.9 million, which works out to USD 2.70 per diluted share, largely because of a USD 369.5 million Goodwill write-down. Impairments are non-cash, since they reflect an acquired Business being valued below its book amount, which leaves cash untouched while flagging lower expectations. The non-GAAP per-share figure dropped from USD 0.58 to USD 0.37 year over year. Restructuring costs of USD 15 million to USD 20 million are expected, mostly in the fourth quarter, and the release contained no revenue outlook. Because the impairment sits outside that measure, adjusted EBITDA remains positive at USD 71.1 million.

Cash After the TheFork Sale and Debt Repayment Plans

Cash and equivalents ended at USD 706.8 million, a USD 271.2 million decline since December 31, 2025. Proceeds from the TheFork divestiture, which finalized November 1, 2026, amounted to roughly USD 741.0 million in net cash. Adding that to the cash balance gives about USD 1.45 billion, a calculated figure. On April 1, 2026, Tripadvisor retired USD 345.4 million of notes maturing in 2026, and it says its priority is shrinking long-term borrowings. The company bought back no shares during the quarter, and none were repurchased in the nine months. Risks include a drawn-out CEO search, a CFO transition arriving within weeks and a Hotels and Other segment shrinking 23%.

Where Things Stand

The stock fell about 28% because a revenue decline, weaker Earnings and a CEO and CFO exit arrived in the same release. Revenue dropped 11% and non-GAAP EPS slid to USD 0.37; the impairment of USD 369.5 million points to weaker expectations, and the release carried no forward revenue view. Proceeds from TheFork, by contrast, leave room on the Balance Sheet for debt repayment. Watch for a permanent CEO appointment, the January 1, 2027 interim CFO start, and restructuring spending of USD 15 million to USD 20 million. The company also came in under an earnings figure of USD 0.44 that published coverage had cited.
