Proceeds are intended to fund exploration work programs across both the Mohave and Copper Hill projects in 2026 and 2027. Funds will be held in escrow and released upon closing of the transaction, contingent on completion of asset acquisitions, the amalgamation, and receipt of TSXV approval. If escrow release conditions are not met by November 7, 2026, subscription receipt holders would be entitled to a return of funds under the terms of the receipts.
