A small explorer in the middle of a rebuild

Western Metallica Resources Corp. (TSXV:WMS) is drawing attention because two corporate steps in 2026 are changing both its share structure and its asset base. It consolidated its shares and settled part of its Debt with equity, and it signed an option agreement that could see its Spanish copper project sold. Its shares are listed on the TSX Venture Exchange under the symbol WMS.

What the moves mean for the Business is less certain.

What the company owns

Western Metallica is an Ontario company, headquartered in Toronto, engaged in mineral resource exploration and development. Its main asset is the wholly owned Penedela Gold Property in the Navelgas Gold Belt in Asturias, northern Spain.

It also holds interests in the Valledor and Sierra Alta projects in Asturias and in Nueva Celti, a copper project in Andalusia in the south. Like most junior explorers, it has no operating mine, so value rests on its ground, permits and ability to fund work.

Consolidation and debt settlement

On 10 July 2026 the company completed a share consolidation on a basis of three existing shares for one new share. The TSX Venture Exchange gave final approval on 8 July, and shareholders had backed the plan at the annual and special meeting on 25 June. After the consolidation, and before the debt transaction, about 2,812,060 shares were outstanding.

The company then moved to settle C$370,000 of debt through a shares-for-debt agreement dated 14 May 2026. It issued 2,466,667 post-consolidation shares at a deemed price of C$0.15 each. The creditor is the chief executive, who is also a director, and the debt came from a Loan agreement dated 24 January 2025, which was settled in full, and a Promissory Note dated 30 April 2026, which was settled in part.

After the issue, 5,278,727 shares were outstanding. The new shares carry a statutory hold period of four months and one day, and completion remained subject to final TSXV acceptance.

Control and what it signals

The settlement made the chief executive a control person, which shareholders approved on 25 June 2026. Converting insider loans into Equity conserves cash, but it concentrates ownership and shrinks the free float of a company that already had few shares in public hands.

The Nueva Celti option

On 25 July 2026 Western Metallica granted AJAX Resources PLC, which trades on the AQSE market, an exclusive and irrevocable option to acquire all of Western Metallica, S.L., the Spanish Subsidiary that holds Nueva Celti. The headline consideration is US$300,000 in total: a non-refundable US$10,000 option payment, received on 6 August 2026 and credited against the price, US$90,000 in cash at completion and US$200,000 in new AJAX shares priced on the ten-day average closing price before completion.

Completion requires TSXV approval, and the 10 August release gave no completion date. A previous letter of intent for the same project, announced in September 2025, expired on 31 December 2025 unextended, a reminder that exclusivity does not always lead to a closed sale.

About two thirds of the value would arrive as shares in another small company rather than cash.

Risks and milestones

The release noted that the Penedela permit was due to expire on 17 August 2026 and was being renewed, and that the Valledor licence expires on 19 November 2026. Later company updates on the Nueva Celti exclusivity exist.

Key watch points are TSXV approval of any completion, the Valledor licence date, how exploration is funded after a sale of such modest size, and whether further equity issues follow.
