Cymat Technologies Ltd. (TSX:CYM), a leading innovator in advanced materials technology, has announced the successful closing of its non-brokered private placement offering, which has received final approval from the TSX Venture Exchange. The financing effort, first announced on April 9, 2025, has raised gross proceeds totaling $1,283,858.
Under the terms of the offering, Cymat issued 11,671,435 equity Units, each priced at $0.11. Each Unit consists of one Common Share and one Common Share Purchase Warrant. The Warrant entitles the holder to purchase an additional Common Share at a price of $0.13, exercisable over a 24-month period. Notably, the Warrants include an accelerated expiry clause—should Cymat’s Common Shares trade at or above $0.16 for ten consecutive trading days, the Company reserves the right to trigger an early expiry. In such a case, the Warrants would expire 45 days from the date of the acceleration announcement.
The financing structure reflects investor confidence in Cymat’s future, with the Company targeting key areas of business development. Proceeds from the offering will be directed towards capital equipment acquisitions essential to a major strategic initiative, as well as for general working capital purposes.
An insider of the Company participated in the financing by subscribing to 909,090 Units, representing $100,000 in gross proceeds.
In connection with the Offering, Cymat will pay aggregate finder’s fees amounting to $4,191. No additional compensation or broker warrants will be issued as part of this transaction.
All securities issued as part of this Offering will be subject to a standard hold period under Canadian securities laws, preventing resale until August 16, 2025.
