MyndTec Inc. (CSE: MYTC), a medical technology company focused on neurological treatment and rehabilitation, has closed the third tranche of its non-brokered private placement, raising gross proceeds of CAD137,314.60. This funding round involved the issuance of 686,573 units priced at CAD0.20 per unit.

Each unit consists of one common share and one-half of one warrant, with each whole warrant exercisable at CAD0.24 per share for a 36-month period from the date of closing. With this third tranche, MyndTec has now issued 2,076,332 units under the ongoing offering, raising a total of CAD415,266.40.

According to the company, the proceeds will be directed toward general corporate purposes. This includes working capital, corporate development, machine learning model development, settlement of outstanding debts, and investor relations initiatives. These allocations aim to support MyndTec’s continued advancement of technologies centered on improving outcomes for individuals with central nervous system conditions.

The securities issued in this tranche are subject to a statutory four-month hold period in Canada. In the United States, the securities remain unregistered under the U.S. Securities Act and are subject to resale restrictions unless registered or exempted under applicable laws.

The tranche also included participation by related parties, triggering a "related party transaction" under Multilateral Instrument 61-101. MyndTec cited exemptions from formal valuation and minority shareholder approval requirements due to the nature and size of the transaction. A material change report was not filed 21 days before closing, as insider participation had not yet been finalized at that point.

MyndTec’s flagship product is the MyndMove™ system, a non-invasive functional electrical stimulation platform designed to help individuals regain voluntary movement following neurological injuries and disorders such as stroke, Parkinson’s disease, or Alzheimer’s. The platform leverages neuroplasticity to support rehabilitation efforts and greater patient independence.
