Tudor Gold Corp. (TSXV: TUD, FSE: H56) has entered into a definitive agreement dated June 25, 2025, to acquire all outstanding common shares of American Creek Resources Ltd. (TSXV: AMK, OTCQB: ACKRF). The all-share transaction will see American Creek shareholders receive 0.238 common shares of Tudor for each American Creek share held.
This acquisition will increase Tudor’s interest in the Treaty Creek Project in northwest British Columbia from 60% to 80%. American Creek currently holds a 20% carried interest in the project. The remaining 20% is held by Teuton Resources Corp. under a separate agreement.
The Treaty Creek Project, part of British Columbia's Golden Triangle, contains the Goldstorm Deposit—a large-scale gold-copper porphyry system—along with other mineralized zones. The project is considered one of the significant undeveloped gold-copper assets in Canada and has seen ongoing exploration activity by Tudor and its partners.
Tudor’s management stated that increasing its ownership stake in Treaty Creek will allow the company to better align future development strategies and attract a broader base of investors. The acquisition is expected to enhance control over exploration programs, resource development, and any potential future production planning.
The proposed exchange ratio implies that existing American Creek shareholders will own approximately 16% of the combined company upon completion of the transaction. The deal remains subject to shareholder approvals from both companies, court approval, and customary regulatory conditions.
The companies have set a goal to close the transaction in the second half of 2025. Upon completion, American Creek shareholders will join Tudor's investor base and participate in the ongoing development of the Treaty Creek asset as the project advances further toward resource delineation and development milestones.
